1 Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you (the "User" or "Customer") and Piyush608 IT Research ("PakhiGST", "we", "us", or "our"), governing your access to and use of the PakhiGST software-as-a-service platform and all related services.

By clicking "I Agree", registering an account, or using any part of our services, you confirm that: (a) you have read and understood these Terms; (b) you are at least 18 years old; (c) you have the legal authority to bind yourself or the organisation you represent; and (d) you agree to comply with these Terms.

2 Description of Services

PakhiGST provides cloud-based and self-hosted GST billing, accounting, inventory management, payroll, CRM, and related business management software ("Services"). Key features include:

• GST invoice generation (B2B, B2C, export, credit/debit notes)
• E-invoice IRN generation via NIC API integration
• E-way bill creation, management and cancellation
• GSTR-1, GSTR-3B, GSTR-9 computation and JSON export
• Inventory and warehouse management
• HR, attendance, payroll processing, PF/ESI/TDS
• Point of Sale (POS) system
• Banking, bank reconciliation, accounting ledgers
• Mobile application (Android & iOS)

Services may be updated, modified, or discontinued with reasonable notice. We strive to provide 30 days advance notice for any material changes.

3 User Accounts & Registration

3.1 Account Creation

You must provide accurate, current and complete information during registration. You are responsible for maintaining the accuracy of your account information, including your GSTIN and business details.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You must immediately notify us of any unauthorized access to your account. We are not liable for losses arising from unauthorized use of your account due to your failure to maintain credential security.

3.3 Multiple Users

Your subscription includes a set number of user accounts as per your plan. Each user must have a unique login. Sharing a single login across multiple individuals is prohibited.

4 Subscription Plans & Billing

4.1 Plans

PakhiGST offers multiple subscription plans (Starter, Professional, Business, Enterprise) with different features and user limits. Current pricing is available at pakhigst.com/pricing.

4.2 Payment

Subscription fees are billed in advance on a monthly or annual basis. All prices are in Indian Rupees (INR) and exclusive of applicable GST (18% GST applicable). We provide a valid GST invoice for every subscription payment.

4.3 Auto-Renewal

Subscriptions auto-renew unless cancelled at least 3 days before the renewal date. You can cancel auto-renewal from your account settings or by contacting support.

4.4 Price Changes

We reserve the right to change subscription prices with 30 days notice. Price changes will not apply to your current billing period.

4.5 Free Trial

We may offer free trial periods. At the end of the trial, your account will require a paid subscription to continue. Trial data is retained for 30 days after trial expiry.

5 Acceptable Use Policy

You agree NOT to use PakhiGST to:

• Generate fraudulent GST invoices, false tax claims, or manipulate financial records for tax evasion
• Submit incorrect GSTIN details or impersonate another business entity
• Reverse engineer, decompile, or attempt to extract the source code of the software (unless permitted under the Enterprise plan)
• Share your login credentials or allow third parties to access your account
• Upload malicious code, viruses, or conduct any cyber attack on our systems
• Resell or sublicense the software without written authorisation
• Violate any applicable Indian or international laws and regulations

6 Intellectual Property

All software code, interfaces, databases, documentation, logos, and brand elements of PakhiGST are the exclusive intellectual property of Piyush608 IT Research, protected under Indian and international copyright, trademark, and patent laws.

Your subscription grants you a limited, non-exclusive, non-transferable licence to use the software for your own business purposes. This licence does not grant ownership of the software.

Enterprise Plan Exception: Enterprise plan customers receive access to the full source code under a separate source code licence agreement, which permits customisation and rebranding for internal use or resale.

7 Data Ownership & Responsibility

You retain full ownership of all business data you enter into PakhiGST (invoices, customers, inventory, etc.). We act as a data processor on your behalf.

You are responsible for the accuracy of data entered into the software, particularly GSTIN details, HSN codes, tax rates, and financial figures. PakhiGST is a tool to assist compliance — it does not replace professional CA or legal advice.

You are responsible for taking regular data exports and backups in addition to our automated backups.

8 Service Availability & Uptime

We target 99.9% uptime for our cloud-hosted services. Scheduled maintenance windows are announced 24 hours in advance via email and in-app notifications.

Uptime SLA does not apply to: self-hosted installations, third-party API downtime (NIC/GSTN), or outages caused by customer-side infrastructure failures.

9 Limitation of Liability

To the maximum extent permitted by applicable Indian law, PakhiGST and Piyush608 IT Research shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, business, data, goodwill, or revenue
• Losses arising from GST portal downtime, GSTN API changes, or government regulatory changes
• Losses resulting from your failure to maintain accurate data in the software
• Any tax penalty, interest, or fine levied by GST authorities

Our aggregate liability for any claim shall not exceed the total subscription fees paid by you in the 3 months preceding the claim.

10 Indemnification

You agree to indemnify, defend, and hold harmless PakhiGST and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including legal fees) arising from: (a) your use of the services in violation of these Terms; (b) your violation of any law or third-party rights; (c) any data you enter into the software; or (d) your fraudulent activities.

11 Termination

11.1 By You

You may cancel your subscription at any time from your account settings. Access continues until the end of your current paid period. See our Refund Policy for refund eligibility.

11.2 By Us

We may suspend or terminate your account immediately if you: violate the Acceptable Use Policy, fail to pay subscription fees, or engage in fraudulent activity. We will provide notice where reasonably possible.

11.3 Effect of Termination

Upon termination, your access to the software will be disabled. Your data will be available for export for 30 days post-termination, after which it will be permanently deleted.

12 Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts in Gautam Buddha Nagar (Noida), Uttar Pradesh, India.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a minimum of 30 days.

13 Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email and in-app notification at least 15 days before taking effect. Continued use after the effective date constitutes acceptance.
